End User License Agreement

End-User License Agreement (EULA) for Tickwall Services

Effective Date: 2022-10-04

This End-User License Agreement ("Agreement") is a binding contract between you ("Licensee") and Tickwall Technologies ("Tickwall" or "Licensor") governing the use of the Tickwall cloud-based service, associated software, tools, and documentation ("Services"). By accessing or using the Services, you agree to be bound by the terms of this Agreement. If you do not agree, do not access or use the Services.

1. License Grant

Tickwall grants you a non-exclusive, non-transferable, limited license to access and use the Services for your organization’s infrastructure security in accordance with the terms of this Agreement.

4.1 Support
Tickwall provides technical support to Licensees in accordance with the service level agreement (SLA) or support plan associated with your subscription.

4.2 Updates
Tickwall may provide updates to enhance functionality or address security issues. Licensees are responsible for ensuring all components, such as agents, are updated promptly to maintain compatibility and security.

5. Ownership and Intellectual Property

All rights, titles, and interests in and to the Tickwall Services, including but not limited to trademarks, software, and documentation, are owned by Tickwall Technologies. This Agreement does not convey any ownership rights to the Licensee.

6. Data and Privacy

Tickwall handles data in compliance with applicable privacy laws. Collected data, including IP addresses and organizational metadata, is used solely to provide the Services and is stored securely. For more information, please refer to the Tickwall Privacy Policy.

7. Fees and Payment

Licensee agrees to pay all applicable subscription or usage fees in accordance with the terms provided at the time of purchase. Non-payment may result in suspension or termination of access to the Services.

8. Limitations of Liability

In any case, Tickwall’s liability is limited to the amount paid by Licensee for the Services during the preceding 12 months.

9. Termination

Tickwall reserves the right to terminate this Agreement and access to the Services if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Services and delete all related data.

10. Governing Law

This Agreement is governed by the laws of Slovenia, without regard to its conflict of law principles. Any disputes will be resolved in the courts located in Ljubljana/Slovenia.

11. Amendments

Tickwall reserves the right to modify this Agreement by providing prior written notice. Continued use of the Services after modifications constitutes acceptance of the updated terms.

12. Entire Agreement

This Agreement constitutes the entire agreement between Tickwall and the Licensee regarding the use of the Services, superseding all prior agreements, representations, or understandings.

By accessing or using Tickwall Services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this End-User License Agreement.
